1. Nature of the Platform

InvestHaat is a technology platform that facilitates connections between startups seeking capital and individuals interested in investing in early-stage companies. InvestHaat is NOT a registered stockbroker, investment advisor, merchant banker, or portfolio manager under SEBI regulations. InvestHaat does not make investment recommendations, does not manage investor funds on a discretionary basis, and does not guarantee returns on any investment made through the platform. All investment decisions are made independently by the user.

2. Risk Disclosure

Investing in early-stage startups carries significant risks, including but not limited to: • Complete loss of invested capital — startups have a high failure rate • Illiquidity — there is no secondary market for these investments; your funds may be locked for years • Dilution — future funding rounds may dilute your equity stake • Regulatory uncertainty — startup regulations in India continue to evolve • Information asymmetry — founders may have more information about the business than investors You should only invest money you can afford to lose completely. Do not invest borrowed money or funds earmarked for essential expenses.

3. Accredited Investor Requirements

For investments above ₹10,00,000 (Ten Lakh Rupees) in any single startup, InvestHaat requires users to complete an accredited investor declaration certifying that they: • Have an annual income exceeding ₹25 lakh, OR • Have a net worth exceeding ₹1 crore (excluding primary residence), OR • Are a qualified institutional buyer as defined by SEBI This is a self-declaration and InvestHaat may request supporting documentation for large investments.

4. Escrow and Fund Safety

All investor funds collected through the platform are held in a third-party escrow account managed by a regulated financial institution. Funds are: • Not commingled with InvestHaat's operating funds • Released to startups only upon campaign completion and admin approval • Refunded to investors if a campaign is cancelled, fails to reach its goal, or is rejected by InvestHaat InvestHaat does not take possession of investor funds at any time. The escrow partner is a SEBI-registered entity.

5. Cooling-Off Period

Investors have the right to cancel their investment within 48 hours of making a commitment, with a full refund of the invested amount. After 48 hours, cancellations may be subject to platform fees. To exercise this right, contact support@investhaat.in with your transaction ID within the specified window.

6. KYC and AML Compliance

InvestHaat complies with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements under the Prevention of Money Laundering Act, 2002 (PMLA) and RBI guidelines. All investors must complete a KYC process before making any investment. Aadhaar and PAN verification are mandatory. InvestHaat reserves the right to refuse service or freeze accounts suspected of suspicious activity.

7. Startup Fundraising Compliance

Startups raising funds through InvestHaat must represent that: • They are incorporated in India or are a registered LLP • They have not previously raised funds in a manner that would disqualify them from private placements • All information provided on the platform is accurate and not misleading • They will use funds as described in their fund utilization plan InvestHaat conducts basic verification but is not responsible for the accuracy of startup-provided information. Investors are encouraged to perform independent due diligence.

8. Grievance Redressal
